The MTS Productions must follow the notice prescribed or any alike notice concerning the removal, prevention, alteration or interception of access to your Software and Content or any individual, or/and offer any kind of information plead by a regulator, government or any other body in authority. You are obliged at your own risk to offer all reasonable support to the MTS Productions in abiding by with a plea for information concerning your Software and Content by a regulator, government, other person or authority claiming any intellectual property or ownership right, right of privacy or confidence in any of your Software or Content or who proclaims any infringement of the allowable Use Policy.

Termination

We  may, without answerability to You, terminate this agreement in part or whole( including terminating the Service Period for any one or a new Service) by giving You at least a 60 days notice( provided that such notice may not be given so the date of discontinue is during a Minimum Service Period)

Indemnity

12.1 You must compensate , hold harmless and defend MTS Production from and against all damages, losses, expenses and costs( including legal expenses and costs on an compensation basis) that may arise indirectly or directly out of or in connection with.

(a) Any use of Network , Hosted Environment on Your Software and Content including where the access to Your Software and Content has been attained through any kind of security mechanism or password issued to You or created by You, irrespectively You have authorized such access or use;

(b) Any dispute between Your Content and Software users and You.

(c) The enforcement of MTS Production rights in connection with any of its rights under this Agreement or any actual or alleged violation of this Agreement by You;

(d) A violation of This Agreement by MTS Production

(e) Any willful, unlawful or negligent act of MTS Production, its Relates bodies and their Contractors.

12.2 Each indemnity that is contained in this Agreement is containing obligation despite;

(a) Any settlement of account; or

(b) the occurrence of any other thing,

And it is not mandatory for violation to incur expense or allow payment before making or enforcing any claim under its compensation.

General:

15.1: Notices are often issued under the below agreement:

The person issuing the notice should be in his or her writing and signed.

We may issue any notice (comprising of written notice) and send the same through an email and do know sending such notice does not require to be signed.

15.2  If any note is posted then it should be delivered to the respective address, published by the prepaid mails to the facsimile  number of any recipient who mention in his agreement and in notice issued by MTS Production can be sent to the email address used by the company for communication with the individual or corporate, comprising of the other credentials of the representative in your finance or accounts departments.

15.3: Every party should look forward to notifying the charges of contact or address details and these credentials can be incorporated in the agreement from the very date respective receipt.

15.4 If any notice is meant to sent according to this agreement than it deemed to received as per the below guidelines:

a). If received through hand delivery on the due date

  1. b) If the mail is sent after 3 working days of the date of mailing or
  2. c) If the notice is sent by any facsimile at the respective time set out as per the report generated from the machine which was forwarded through facsimile and which states the same is entirely sent to the facsimile number of recipient.
  3. d) If we sent the notice to any of your email address and is considered to be submitted if MTS Production does not receive any notification or email of non-delivery of receiving the email within an hour.

14.5 We have the authority to terminate this agreement immediately, in parts or whole( including terminating the Service Period for any one or a new Service) by handing
